These Affiliate Program Terms & Conditions (“Terms”) govern your participation in the QuantumLeadGen.ai Affiliate Program (“Program”), operated by Centered Limited, Unit 915, 9/F, Concordia Plaza, 1 Science Museum Rd, Tsim Sha Tsui, Hong Kong (“QuantumLeadGen.ai,” “we,” “us,” or “our”).
By submitting the affiliate application form and/or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not participate.
The Program allows approved Affiliates to promote QuantumLeadGen.ai and earn commissions on qualifying sales tracked via their unique affiliate link or code.
2.1 You must submit a complete affiliate application. We reserve the right to approve or reject applications at our sole discretion.
2.2 You must be at least 18 years old and legally able to enter into a binding contract.
2.3 If accepted, you will receive access to an affiliate link/code, tracking dashboard, and promotional resources.
3.1 Commission Rate – Unless otherwise agreed in writing, Affiliates earn 10% commission on Net Receipts from referred sales.
3.2 Net Receipts – The actual amounts received by us from a customer, excluding payment processing fees, chargebacks, refunds, discounts, and taxes/VAT/GST.
3.3 Payment Schedule
• Commissions are calculated monthly and paid within 20 days of month-end.
• Minimum payout threshold: USD $100.
• Payments are made via bank transfer, Stripe, Wise, or other agreed method.
3.4 Exclusions
• No commissions on self-purchases, refunded/cancelled orders, fraudulent transactions, or transactions made outside the tracking period.
• We reserve the right to withhold or adjust commissions for suspected fraud or policy violations.
4.1 Tracking Method
We track referrals using our affiliate tracking software, which records customer visits via unique affiliate links and approved coupon codes. Tracking is primarily cookie-based and may be supplemented by CRM and sales data for verification.
4.2 Attribution Model
• Default Rule: First-click attribution applies. The affiliate whose tracking link or coupon code is used at the time of purchase will be credited with the sale.
• Coupon Code Priority: If a valid affiliate coupon code is entered at checkout, the sale will be credited to the affiliate
who owns that code, regardless of link history.
4.3 Cookie Duration
• The cookie window is 30 days from the first click on your tracking link.
• The window resets if the customer clicks another affiliate link before purchase.
4.4 Manual Overrides
If technical issues prevent tracking but CRM or other reliable records clearly show you were the original referring affiliate, we may assign the commission manually at our discretion. Such overrides are handled on a case-by-case basis and require supporting evidence.
4.5 Exclusions
No commission will be paid on:
• Self-purchases or orders placed by the affiliate using their own link or code
• Cancelled, refunded, or chargeback transactions
• Transactions outside the cookie or attribution window
4.6 Dispute Resolution
Tracking or attribution disputes must be submitted in writing within 30 days of the transaction date. After this period, our tracking records are final.
4.7 Second-Level (Two-Tier) Affiliates
• You may refer other affiliates to the Program (“Sub-Affiliates”) using the unique referral link provided in your affiliate dashboard.
• If a referred Sub-Affiliate is approved by us, you will earn a second-level commission on qualifying sales they generate, in addition to your own direct commissions.
• Unless otherwise agreed in writing, the second-level commission rate is 5% of the Net Receipts from sales made by your Sub-Affiliate.
• Second-level commissions are calculated and paid on the same schedule and under the same rules as standard commissions.
• Only one referrer can be credited for a Sub-Affiliate. Sub-Affiliates cannot be reassigned after approval.
• You are not responsible for managing or supporting your Sub-Affiliates, but you may choose to provide them with marketing guidance. All Sub-Affiliates must comply with these Terms.
5.1 You must only use promotional materials we provide.
5.2 You must comply with all applicable advertising, privacy, and consumer protection laws (including FTC and ASA disclosure requirements). This includes clearly disclosing your affiliate relationship.
5.3 You may not:
• Use spam, unsolicited emails, or misleading claims.
• Bid on QuantumLeadGen.ai branded keywords or register similar domains without written consent.
• Represent yourself as an employee or official representative of QuantumLeadGen.ai.
5.4 We reserve the right to review and request edits or removal of your marketing materials.
6.1 You must keep any non-public information about QuantumLeadGen.ai, its customers, or partners confidential.
6.2 Any customer data accessed via the Program must only be used for Program-related activities and must be deleted within 30 days of termination unless retention is legally required.
6.3 You must comply with applicable data protection laws, including GDPR where relevant.
7.1 These Terms apply from the date you join the Program until terminated by either party.
7.2 Either party may terminate participation at any time by written notice (including email).
7.3 We may terminate immediately if you:
• Breach these Terms.
• Engage in fraud, misrepresentation, or unlawful marketing.
• Act in a way that risks reputational harm to QuantumLeadGen.ai.
7.4 Commissions remain payable on qualifying transactions completed and paid prior to termination, subject to exclusions.
We may modify these Terms or the Program (including commission rates) at any time by posting updated Terms on our website. Continued participation after changes means you accept the updates.
We are not liable for indirect, incidental, or consequential damages arising from your participation in the Program. Our total liability will not exceed the total commissions paid to you in the 3 months prior to the claim.
These Terms are governed by and interpreted in accordance with the laws of Australian Centre for International Commercial Arbitration (ACICA), with proceedings conducted remotely unless otherwise agreed in writing.
